Welcome to Digital Doorway ("Digital Doorway," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, tools, and services (collectively, the "Services"), including our CRM, marketing automation, IDX websites, and transaction coordination offerings. By accessing or using our Services, you agree to be bound by these Terms.

These Terms also apply to any affiliated, white-label, or reseller partners operating under agreement with Digital Doorway, including branded subdomains and co-branded platforms.

1. Acceptance of Terms

By creating an account, checking a consent box, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Digital Doorway provides real estate technology software, including CRM tools, AI-powered lead discovery, marketing automation, custom IDX websites, instant offers facilitation, and transaction coordination support for individual agents, brokerages, title companies, lenders, and agencies.

3. Accounts and Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. You are responsible for providing accurate registration information and maintaining the confidentiality of your login credentials, and for all activity that occurs under your account.

4. Subscriptions, Billing, Renewal, and Cancellation

• Fees are due as specified at sign-up or order and are billed on a recurring monthly or annual basis unless otherwise agreed.
• Trial Period: If a free or discounted trial is offered, standard billing begins automatically when the trial ends unless canceled beforehand.
• Non-Refundable: Payments made after a trial period are non-refundable, including partial billing cycles.
• Cancellation: A minimum of 30 days' written notice is required to cancel a subscription. Cancellation requests should be sent to Info@DigitalDoorway.io.
• Payment Processing: We use a third-party processor, Stripe, for all payments. We do not store your payment card information.

5. Acceptable Use

You agree not to:

• Use the Services in violation of applicable laws or regulations
• Reverse-engineer, decompile, or exploit our platform or its underlying code
• Share login credentials with unauthorized users
• Use the Services to transmit spam, malware, or unlawful content

6. White-Label and Reseller Terms

Partners operating white-label or co-branded versions of our platform remain responsible for their own end-users' compliance with these Terms. Digital Doorway reserves the right to suspend white-label access for violations by the partner or its end-users.

7. Intellectual Property

All content, software, tools, branding, and intellectual property made available through the Services are owned by or licensed to Digital Doorway. You may not reproduce, distribute, or modify any of our content or code without prior written permission.

8. Third-Party Services and MLS/IDX Compliance

Our IDX websites display listing data licensed from Multiple Listing Services. You are responsible for complying with the applicable MLS's rules regarding display, use, and attribution of listing data. Digital Doorway is not responsible for the accuracy of third-party listing data or for MLS rule changes.

You are solely responsible for ensuring that all marketing, advertising, lead generation, and consumer outreach conducted through the platform complies with applicable laws, including Do Not Call regulations, the CAN-SPAM Act, TCPA, and state-specific real estate and telemarketing rules. You agree to indemnify and hold harmless Digital Doorway from claims arising from your non-compliance.

9. Transaction Coordination Disclaimer

Our transaction coordination services provide administrative and organizational support for real estate transactions. Digital Doorway is not a licensed real estate brokerage, title company, or law firm, and transaction coordination services do not replace the responsibilities of licensed agents, brokers, escrow officers, or attorneys involved in a transaction.

10. No Legal, Financial, or Real Estate Advice

Digital Doorway is a technology platform and does not act as a licensed real estate broker or agent. Any valuations, instant offers, or property-related outputs generated through our Services are for informational purposes only, are intended to facilitate conversations with licensed partners, and do not constitute professional real estate, legal, tax, or financial advice, nor a binding offer or contract. Offers are not binding unless required state and local documents are executed by all parties.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Digital Doorway shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold harmless Digital Doorway, its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of applicable law.

14. Termination

We reserve the right to suspend or terminate your access to the Services at any time for violation of these Terms or misuse of the platform, with or without notice.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Texas, and both parties consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised effective date, and continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
